SHADE PATCH – TERMS OF SERVICE

OVERVIEW

Welcome to Shade Patch. These Terms of Service ("Terms") govern your access to and use of the Shade Patch website, online store, and related services (collectively, the "Services").

The terms “Shade Patch,” “we,” “us,” and “our” refer to Shade Patch, a brand operated by Sombra LLLP ("Company"). By accessing, browsing, or using the Services, including purchasing any products, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

These Terms contain important information regarding product disclaimers, limitations of liability, and your legal rights. Please read them carefully.

SECTION 1 – ELIGIBILITY & ACCOUNT RESPONSIBILITY

By using the Services, you represent that you are at least the age of majority in your jurisdiction. If you permit a minor to use the Services on your behalf, you remain fully responsible for their activity.

You agree to provide accurate, current, and complete information when making a purchase or creating an account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Accounts may not be sold, transferred, or assigned.

SECTION 2 – PRODUCT USE & MEDICAL DISCLAIMER (IMPORTANT)

Shade Patch products are cosmetic and textile-based UPF products only.

  • They are not medical devices

  • They are not drugs

  • They are not intended to diagnose, treat, cure, or prevent any disease or medical condition

Any references to sun protection, skin appearance, cosmetic benefits, or skin care are non-medical, cosmetic, and aesthetic in nature only.

Shade Patch products should not be used for medical or therapeutic purposes unless expressly recommended by a licensed physician (MD). Use outside the intended cosmetic and textile context is entirely at your own risk.

To the fullest extent permitted by law, Sombra LLLP and Shade Patch disclaim all liability for any injury, reaction, condition, or damages resulting from misuse, off-label use, or use inconsistent with product instructions or intended purpose.

SECTION 3 – PRODUCT INFORMATION & AVAILABILITY

We strive to display product descriptions and images accurately; however, colors, appearance, and texture may vary due to device settings or manufacturing variations.

We do not guarantee that products will meet subjective expectations. All product descriptions, pricing, and availability are subject to change without notice. We reserve the right to limit quantities or discontinue products at any time.

SECTION 4 – ORDERS & ACCEPTANCE

All orders constitute an offer to purchase. We reserve the right to accept or decline any order at our sole discretion. Orders are not accepted until payment is processed and confirmation is issued.

Once accepted, orders may not be canceled or modified except as required by law. All purchases are subject to our Return & Refund Policy.

Products are sold for personal or household use only and may not be resold or exported.

SECTION 5 – PRICING & BILLING

Prices are subject to change without notice and exclude applicable taxes, shipping, customs, or duties unless otherwise stated.

You represent that all payment information provided is accurate and authorized. You agree to promptly update billing information and to pay all charges incurred.

SECTION 6 – SHIPPING & RISK OF LOSS

Shipping times are estimates only. We are not responsible for delays caused by carriers, customs, or events beyond our control.

Title and risk of loss pass to you upon delivery of products to the carrier.

SECTION 7 – INTELLECTUAL PROPERTY

All content on the Services, including trademarks, logos, text, images, videos, and designs, is owned by Shade Patch or its licensors and protected by intellectual property laws.

You may use the Services for personal, non-commercial purposes only. Any unauthorized use, reproduction, or distribution is prohibited.

SECTION 8 – OPTIONAL TOOLS & THIRD-PARTY SERVICES

The Services may provide access to third-party tools or links. We do not control or endorse these third parties and provide access "as is" and "as available."

We are not liable for any damages arising from your use of third-party tools, websites, or services.

SECTION 9 – SHOPIFY PLATFORM DISCLAIMER

The Services are hosted by Shopify. All transactions are between you and Shade Patch. You expressly release Shopify from all claims related to your purchases or use of the Services.

SECTION 10 – PRIVACY

Your use of the Services is subject to our Privacy Policy and Shopify’s Privacy Policy. Information may be processed in jurisdictions outside your own.

SECTION 11 – USER FEEDBACK & CONTENT

By submitting reviews, comments, or other content, you grant Shade Patch a perpetual, royalty-free, worldwide license to use such content for any lawful purpose.

You represent that your submissions do not violate third-party rights or applicable laws.

SECTION 12 – PROHIBITED USES

You may not use the Services for unlawful, fraudulent, abusive, or harmful purposes, or to infringe intellectual property rights. We may suspend or terminate access for violations.

SECTION 13 – DISCLAIMER OF WARRANTIES

THE SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Some jurisdictions do not allow certain disclaimers; in such cases, applicable law applies.

SECTION 14 – LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHADE PATCH AND SOMBRA LLLP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

SECTION 15 – INDEMNIFICATION

You agree to indemnify and hold harmless Shade Patch, Sombra LLLP, and their affiliates from any claims arising from your use of the Services or violation of these Terms.

SECTION 16 – TERMINATION

We may terminate or suspend access to the Services at any time without notice. Sections intended to survive termination shall remain in effect.

SECTION 17 – GOVERNING LAW

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. You consent to exclusive jurisdiction and venue in Georgia courts.

SECTION 18 – SEVERABILITY

If any provision is deemed unenforceable, the remaining provisions will remain in full force.

SECTION 19 – CHANGES TO TERMS

We may update these Terms at any time. Continued use of the Services constitutes acceptance of the revised Terms.
